Software License Sale Specific Terms and Conditions
1. Once an order is placed, refunds or cancellations are impossible.
2. Delivery and scheduling of customer onboarding will occur within two days following the license issuance.
3. The license will be issued under pre-paid order conditions unless it is specified and agreed otherwise.
4. All subscriptions are set to auto-renewal with no permanency, and customers can cancel the renewal up to 90 days before the next term.
5. By purchasing the Software License, the Licensee acknowledges that it has read and understood these Terms and Conditions and agrees to be bound by them.
Software License Sale General Terms and Conditions
1. Definitions
For the purpose of these Terms and Conditions:"Licensor" refers to the software developer (for example Graphisoft, Bluebeam, etc).
"Licensee" refers to the entity purchasing the software license.
"Software" refers to the specific software application outlined in the sales agreement, including all accompanying documentation and materials.
"Agreement" refers to these Terms and Conditions and any related sales agreement or purchase order.
2. Grant of License
Licensor grants to Licensee a non-exclusive, non-transferable license to use the Software as per the terms of this Agreement. The Licensee may install and use the Software on a specified number of devices or users as detailed in the sales agreement and End User License Agreement (EULA).3. License Fee
Licensee shall pay the Licensor the agreed-upon license fee as set forth in the sales agreement. Payment terms shall be as follows:Full payment is due upon execution of this Agreement unless otherwise specified.
Late payments may incur interest charges as stipulated in the sales agreement.
4. Term and Termination
The license shall commence upon receipt of payment and shall continue for the duration specified in the sales agreement.
Either party may terminate this Agreement with immediate effect if the other party breaches a material term and fails to remedy the breach within 30 days of written notification.
Upon termination, the Licensee must cease all use of the Software and destroy all copies in its possession.
5. Restrictions
Licensee agrees not to:Modify, adapt, or create derivative works based on the Software.
Distribute, sell, lease, or lend the Software to third parties.
Use the Software for any illegal purpose or in a manner that violates applicable laws.
6. Intellectual Property Rights
All rights, title, and interest in and to the Software, including but not limited to all intellectual property rights, remain with the Licensor. Licensee acknowledges that it does not acquire any ownership rights through this Agreement.7. Support and Maintenance
Licensor may offer support and maintenance services for the Software as outlined in the sales agreement. These services are subject to additional terms and fees, if applicable.8. Warranty Disclaimer
Licensor makes no warranties, express or implied, regarding the Software's performance or suitability for a specific purpose. The Software is provided "as-is," and Licensee assumes all risks associated with its use.9. Limitation of Liability
Licensor shall not be liable for any indirect, special, incidental, or consequential damages arising from or related to this Agreement or the use of the Software, even if advised of the possibility of such damages.10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of law principles.11. Entire Agreement
These Terms and Conditions, along with any accompanying sales agreement, constitute the entire agreement between the parties and supersede all prior negotiations, discussions, or agreements.By purchasing the Software License, the Licensee acknowledges that it has read and understood these Terms and Conditions, and agrees to be bound by them.
